Personally, I wanted to be a lawyer since elementary school. In my work, I adhere to the saying: "There is a way out! There is always a way out."
I love interesting, complex projects; there is more drive and more emotional feedback there. The work should be interesting, so I am always looking for some new approach, a new perspective, etc. I am constantly learning; I simply love to learn)).
My opinion is that a lawyer is to the case, like a doctor to the body. The difference is that we treat the case, but the similarity is that we help the Client find and strengthen their confidence.

Experience and implemented projects
Business partnerships and prevention of corporate conflicts
1. Partnership sessions with business owners
Conducting partnership sessions with co-owners of businesses from various industries to build a sustainable model of interaction between partners. The projects included synchronizing the goals and expectations of the participants, distributing roles and areas of responsibility, agreeing on the contribution of each partner to business development, discussing complex issues and developing decision-making mechanisms.
The result is the formation of a clear partnership model and the preparation of partnership agreements that help minimize the risks of corporate conflicts.
2. Development of corporate agreements and business management mechanisms.
Preparation of corporate agreements for business owners, taking into account the specifics of specific projects.
The documents outlined: the procedure for making key decisions; mechanisms for resolving impasses between partners; the grounds and procedure for buying out the share of a defaulting participant; liability of partners for breach of agreements; option structures and other tools for protecting the interests of owners.
Business Structuring and Development
3. Analysis and Optimization of the Existing Business Structure.
A comprehensive analysis of the current business structure was conducted to identify tax, corporate, and legal risks.
Based on the analysis, practical recommendations were developed to minimize the identified risks, taking into account the specifics of the company's operations and existing restrictions.
The result: solutions were developed that improve business security without significantly restructuring the existing management model.
4. Business Structuring for Expansion and Acquisition of New Business Lines.
Supporting the owner during business scaling and acquisition of additional business lines.
An analysis of the current structure was conducted, identifying tax and legal risks arising from business expansion. A legal opinion was prepared assessing possible structuring models, risk mitigation options, and a step-by-step implementation algorithm for the chosen solution.
The result was an action plan and several options for the safe implementation of the project, taking into account the constraints and specifics of the business.
5. Preparing the business for sale and new participants.
Comprehensive support for transactions involving the acquisition of new participants and the disposal of business shares. This project included developing corporate and option agreements, defining mechanisms to protect the interests of current owners, and establishing limitations on the manager's authority and procedures for interaction between the participants. The result is a secure transaction structure that minimizes the seller's corporate and legal risks.
Investments and IT Business
6. Developing a Secure IT Business Model.
Developing a legal model for interactions between individual entrepreneurs and limited liability companies for an IT company, taking into account the specifics of the business and existing restrictions.
A business audit was conducted, assessing tax, corporate, and labor risks, as well as issues related to the protection of personal data, commercial, and confidential information.
The result: a secure legal framework for the business was established and a step-by-step implementation plan was prepared, identifying priority actions.
7. Supporting an investor's entry into an IT company.
Comprehensive legal support for the transaction to attract an investor to the IT company.
We developed an interconnected contractual and corporate framework, including: a letter of intent (term sheet); a convertible loan agreement; a corporate agreement between the investor and the participants; corporate resolutions of the participants; documents for notarization and state registration of the transaction; and additional legal recommendations for the implementation of the investment project.
The result: a secure investment attraction structure that takes into account the interests of business owners and the investor.
Corporate Conflicts and Asset Protection
8. Defending a Joint-Stock Company in a Corporate Conflict with a Shareholder and a Former Director. Supporting a major corporate conflict related to the actions of the company's former director.
The project involved initiating and conducting approximately 20 lawsuits, protecting the company's interests in challenging management decisions, dismissing the director, and claiming compensation.
As a result, the courts denied the former director's claims for reinstatement, challenging board decisions, and claiming compensation for forced absence.
9. Protecting the rights of shareholders worth approximately 2 billion rubles.
Representing the owners of a large enterprise in a dispute over the recovery of securities from someone else's illegal possession.
The trial lasted approximately two years, and the case materials comprised 25 volumes. Foreign citizens participated in the case as third parties.
The outcome was the illegality of the share transfer, the lack of rights of the opponents to the disputed securities, and a decision in favor of the clients.
10. Challenging a chain of transactions worth approximately 70 million rubles.
Representing the client's interests in a dispute over invalidating related transactions.
The case was unique in that the dispute involved a land plot sold at auction where construction of an apartment building was already underway, creating additional risks for the construction participants.
Ultimately, the courts found the transactions to be sham, confirmed the abuse of rights, and upheld the client's claims.
